Matthew Van Ryn is an attorney who practices in the areas of business law and intellectual property, specializing in working with start-ups and mid-market clients. He advises clients in areas such as entity formation, buy-sell, shareholder and operating agreements, business strategy, employment and stock option agreements, intellectual property protection and licensing, mergers and acquisitions.

Mr. Van Ryn has substantial experience negotiating and drafting commercial contracts, commercial lease transactions, joint ventures, software and technology development, manufacture, sales and distribution agreements.

He has secured funding through private placements, loans and grants for numerous start up and growing businesses under a wide variety of programs.

Mr. Van Ryn also has extensive experience as a technology marketing and business strategy consultant. He has created award winning marketing communications campaigns for IBM’s Software and Internet business units, launching over a dozen business initiatives within IBM, and literally hundreds of products over a ten year period.

Representative Client Matters

  • Advise clients regarding choice of entity, buy-sell, shareholder and operating agreements, tax filings and additional start-up matters for numerous new companies in the following industries: remote telemedicine, nutraceutical manufacturers, biomedical companies, software and SaaS, online reputation management, organic and natural foods, vending services, online services, electric vehicle charging station operator, gymnastics instruction, restaurant operators, construction contractors and suppliers, sleep medicine practice, renewable energy service providers, dental practice, and many others.
  • Negotiate real estate leases, commercial and residential, from landlord or tenant perspective. Indoor malls, strip malls, out-parcel development, free standing stores, commercial office space, build to suit. Have negotiated well over 100 leases.
  • File trademarks, represent clients in trademark oppositions, cancellation proceedings and litigation in federal courts and before the United States Patent & Trademark Office.
  • Draft and negotiate tower and antenna agreements, services and consulting agreements for telecom industry.
  • Draft and negotiate agreements for construction of renewable energy projects (engineering services, IP licensing and protection, architect and construction services).
  • Negotiate commercial contracts, including franchise agreements, software development, sales, services, marketing, and distribution agreements, for a wide range of industries, including broadband services provider, software company, manufacturer of wheels and axles for railroad industry, restaurant operators, valve and gauge manufacturer, brewery, medical practices, publisher, financial services provider, not-for-profits..
  • Mergers and acquisitions, stock and asset purchases, corporate mergers.
  • Drafting employment and stock option agreements.
  • Patent licensing agreements with research institutions, government entities and private companies.
  • Counsel clients regarding business strategy, business plan development, and seeking investment capital.
  • Drafting and negotiating entertainment contracts for the music business and cable television.
  • Assist clients with licensing applications and permits from state agencies (e.g. liquor licenses, qualification of minority and women owned businesses for purposes of government contracting, franchising, etc.)
  • Negotiate finance agreements, bank loans, SBA loans, PILOT (Payment in Lieu of Tax) Agreements, construction loans.
  • Dispute resolution, including commercial litigation in state and federal courts.
  • Drafting Employee Handbooks and developing personnel policies for clients. Litigation of employment disputes.
